Terms of Service

These Terms of Service (“Terms”) govern your use of ometz.co, the Ometz client portal, and the website, hosting, and back-office services Ometz provides (the “Services”). By submitting a form, paying a build fee, or using the Services, you agree to these Terms on behalf of yourself and the business you represent (“you,” “Client”). If you sign a separate proposal or agreement with us, that document controls where it conflicts with these Terms.

1. Services and packages

Ometz designs, builds, hosts, and maintains websites and administrative systems under the package you select (Launch, Growth, or Enterprise) as described on our pricing page or in your written proposal (“Scope”). Enterprise engagements are scoped in a written proposal before any payment. Anything not listed in your Scope is outside it and will be quoted before we start.

If you cancel before your kickoff call, we will refund your build fee in full. Once design or build work has started, the build fee is non-refundable, because it pays for time already reserved and spent. Monthly plan fees are not refunded for partial months.

4. Timeline

Our target for a working first draft is about 1 week (Launch), 3 weeks (Growth), or 5 weeks (Enterprise), counted from when your onboarding form and the materials we request are complete. These are good-faith targets, not guarantees. Delays in your content, feedback, approvals, or third-party access move the timeline accordingly.

6. Revisions and approvals

Each stage includes reasonable rounds of revisions within your Scope. When you approve a design or deliverable in the portal, that approval is final for that item. Changes after approval, or requests outside your Scope, use your monthly update hours or are quoted separately.

7. Monthly update hours

Your plan includes the monthly update time listed for your package (Launch 2 hours, Growth 5, Enterprise 10). Unused time does not roll over. Larger features are quoted before work begins.

9. Cancellation

You can cancel your monthly plan with 30 days’ written notice by email or through the portal. We may end the Services with 30 days’ notice, or right away if you materially breach these Terms or fail to pay after notice. Sections on fees owed, ownership, confidentiality, disclaimers, limitation of liability, and governing law survive termination.

10. Hosting, third parties, and availability

The Services run on third-party providers such as Supabase, Netlify, Stripe, Resend, and Google. We choose reputable providers and monitor your system, but we do not guarantee uninterrupted or error-free service, and we are not responsible for outages or changes by those providers. Integrations you request with other software depend on those vendors’ terms and availability.

11. Confidentiality and data

We keep your non-public business information confidential and use it only to provide the Services. Personal information is handled as described in our Privacy Policy.

12. Warranties and disclaimers

We will perform the Services in a professional manner. Except as stated in these Terms, the Services are provided “as is,” and we disclaim all other warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific business results, search rankings, traffic, or revenue.

13. Limitation of liability

To the fullest extent allowed by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Services is limited to the fees you paid us in the 6 months before the claim arose.

14. Indemnity

You agree to defend and indemnify Ometz against third-party claims arising from your content, your products or services, or your violation of law or these Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Texas. Before filing any claim, both parties agree to try in good faith to resolve the dispute informally for 30 days. Any lawsuit must be brought in the state or federal courts located in Texas.

16. Changes to these Terms

We may update these Terms. We will change the date above and notify clients of material changes by email or in the portal at least 15 days before they take effect. Continued use after that means you accept the updated Terms.
